YOU AGREE TO THE FOLLOWING LICENSING POLICY (THE “LICENSE”) GOVERNING THE LICENSING OF E-BIZSOFT, INC.’S SOFTWARE APPLICATION NAMED EPAYMENTCONNECTOR™ FOR THE ODOO PLATFORM INCLUDING WEBSITES, SOFTWARE, SERVICES, SOURCE CODE, INTERFACES, APPLICATIONS, MODULES, PRODUCTS, PRODUCT FAMILIES, OFFLINE COMPONENTS, EDITIONS, AND VERSIONS (COLLECTIVELY, THE “SOFTWARE”).

As part of the Software, e-BizSoft, Inc. will provide you with use of the Software, including an interface and the associated transmission, access, and data exchange capabilities for payment processing services via Global Payments (“Payment Processor”) for the Odoo (“Odoo”) business management software. Your registration for, and / or use of, the Software shall be deemed to be your agreement to abide by this Agreement regardless of how Software was obtained for use or the Odoo edition or configuration in which the Software is used.

1. ODOO COMMUNITY EDITION

You acknowledge that e-BizSoft, Inc. does not authorize, support, or offer LICENSE for Software for usage on the Odoo Online Edition. If you choose to try to install or use Software on Odoo Online Edition you acknowledge that you do so at your own risk and liability.

2. ODOO ENTERPRISE EDITION

The Software is subject to an Odoo Proprietary License. The Software may only be executed if you have purchased a valid license from e-BizSoft, Inc., typically via Odoo Apps (also known as the Odoo Apps Store), or if you have received an express written agreement from e-BizSoft, Inc.

You may develop Odoo modules of functions that use the Software as a library or extension (typically by depending on it, importing it and using its resources), but without copying or changing any source code or material from the Software. You may distribute those modules under the license of your choice, provided that this license and terms herein are compatible with the terms of the Odoo Proprietary License.

Under the terms of this license, you may not publish, distribute, sublicense, donate, or sell copies of the Software or modified copies of the Software in whole or in part, regardless of the intent or purpose. You may not modify the Software or change how the Software accesses or works with the Payment Processor. You may not reverse engineer Software including its files, content, code, data, or interface with the Payment Processor. You may not use the access capabilities or data of Software to design or develop another interface to access or use the Payment Processor. You may not publish or distribute the internal workings (including its design, functionality, or access information) of the Software or its interface with the Payment Processor. You may not modify the Software or use the Software in a manner that violates federal, state, or local laws.

The above copyright notice and this permission notice must be included in all copies or substantial portions of the Software.

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

IN NO EVENT SHALL E-BIZSOFT, INC. OR THE PAYMENT PROCESSOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

3. DEFINITIONS

“Odoo Community Edition” is the open-source edition of the Odoo business management software. “Odoo Enterprise Edition” is the licensed edition of the Odoo business management software. Please refer to the Odoo website or documentation for more information about these two editions: https://www.odoo.com/page/editions

Odoo Enterprise Edition can be hosted on either Odoo’s cloud platform called “Odoo.sh” or “On premise.” Odoo.sh is maintained, managed, and secured by Odoo on its own computing infrastructure, hardware, or servers. “On premise” means the Odoo Enterprise Edition software is installed and operates on computing infrastructure, hardware, or servers that is physically located at or is controlled by your organization. Your organization, inclusive of your employees, contractors, officers, agents, affiliates, or third parties, is liable for the maintenance, management, and security of the Odoo Enterprise Edition software.
